Questovery Platform Terms

Version 1.3 - effective as of December 3, 2026.

Reference language notice: This English translation is provided for convenience only. In case of discrepancy, inconsistency, or interpretation difference, the French version shall prevail.

These Questovery platform terms (hereinafter the “Platform Terms”) govern the relations between the company LEZO EURL with a share capital of 100 euros, registered with the Nantes Trade and Companies Register (RCS) under number 921 329 025, having its registered office at 21 boulevard Auguste Pageot, 44000 Nantes, whose intra-community VAT number is FR 23 921329025, represented herein by Mr. Simon Boisset, in his capacity as Manager (hereinafter referred to as “LEZO”) and organizations having the status of professionals (hereinafter the “Customers”, as defined below) in connection with access to the platform and services (the “Services”) offered on the “Questovery” Application, accessible on the Web at www.questovery.com and on iOS and Android (respectively the “Web Application” and the “Mobile Application”, and together the “Application”).

The Application allows Customers to design and publish treasure hunt or interactive route scenarios, to grant and acquire operating licenses for these scenarios, and to create, administer and operate for participants treasure hunts or interactive routes derived from these scenarios (the “Quests”), consisting in particular of steps, content, media, teams and game settings, including by selling registrations to these participants.

It is specified that the Services may be accessible, depending on the relevant roles and features, from the Web Application and/or the Mobile Application. Features intended for participants or players of a Quest are mainly accessible from the Mobile Application.

A Customer may act as a Publisher, as an Operator, or both. Title I applies to all Customers. Title II additionally applies to the Customer when it acts as a Publisher, and Title III when it acts as an Operator. Title IV contains the final provisions.

LEZO and the Customer are hereinafter referred to individually as a “Party” and collectively as the “Parties”.

TITLE I – COMMON PROVISIONS

1. Purpose and contractual documents

1.1 The purpose of these Platform Terms is to determine the conditions under which LEZO grants the Customer and its Users the non-transferable, non-exclusive and personal right to access the Application and use the Services as defined herein.

It is understood that Users are natural persons, employees, agents or representatives of the Customer or of an affiliated company within the meaning of Article L.233-3 of the French Commercial Code, or third parties.

1.2 These Platform Terms are reserved for and only applicable to professionals, excluding individuals. The Customer thus undertakes to make only purchases directly related to its professional activity. As Customers are professionals, consumer law does not apply to these Platform Terms.

The Customer declares, before any subscription, that it has read these Platform Terms and declares that it accepts them.

The Customer undertakes to comply with all of the obligations incumbent on it under these Platform Terms.

Unless otherwise specified in writing by LEZO, subscribing to the Services from LEZO implies the Customer's full and unreserved acceptance of these terms and the express exclusion of any other prior conditions or conditions such as the general conditions of purchase possibly established by the Customer or any document emanating from it.

In any event, in the event of a contradiction between these Platform Terms and any general conditions of purchase or any other general or specific conditions of the Customer, these Platform Terms shall prevail.

1.3 The Platform Terms are made available to the Customer on the Web Application, where they can be directly consulted, including before the conclusion of the contractual relationship. They can also be communicated upon request sent by telephone, email or postal mail.

1.4 By subscribing to the Services, the Customer acknowledges having read and accepted these Platform Terms. In addition, by subscribing to the Services, under these Platform Terms, the Customer certifies that it has the status of a professional.

1.5 Validation of the subscription to the Services by its confirmation constitutes acceptance by the Customer of the Platform Terms in force on the day of subscription.

LEZO reserves the right to modify its Platform Terms at any time. In the event of modification of the Platform Terms, the Customer has the option of terminating its Subscription in accordance with the terms of Articles 6 and 17 hereof.

1.6 If any part of the Platform Terms were to prove illegal, invalid or unenforceable, for any reason whatsoever, the provisions in question would be deemed unwritten, without calling into question the validity of the other provisions, which will continue to apply.

1.7 The fact that LEZO does not avail itself at a given time of any of the provisions of these Platform Terms cannot be interpreted as a waiver of the right to avail itself of it at a later date.

1.8 The relationship between LEZO and the Customer is governed by the following documents, in decreasing order of priority:

  • any special terms signed by LEZO and the Customer
  • these Platform Terms
  • the GDPR Addendum
  • the User Terms, applicable to Users

The Standard License Terms and the Standard Registration Terms are templates published by LEZO, which apply by default to the contracts concluded respectively between Publishers and Operators and between Operators and Participants under the conditions of Articles 28, 32 and 34. LEZO is not a party to these contracts.

1.9 These Platform Terms take into account, to the extent that it applies to the Services, Regulation (EU) 2019/1150 of June 20, 2019 on promoting fairness and transparency for business users of online intermediation services.

2. Definitions

The following terms, when they begin with a capital letter, have the following meaning:

“GDPR Addendum” means the Questovery SaaS Data Processing Addendum published on the Web Application, which governs the processing of personal data carried out by LEZO on behalf of the Customer.

“User Terms” means the Questovery end-user terms of use, applicable to any person using the Application.

“Customer” means the professional holding an organization in the Application who accepts these Platform Terms.

“Connected Account” means the account opened by a Customer with Stripe under the Stripe Connect service and linked to its organization in the Services.

“Standard License Terms” means the Questovery Standard Operating License Terms published by LEZO at www.questovery.com/en/docs/license-terms.

“Standard Registration Terms” means the Questovery Quest Registration Terms published by LEZO at www.questovery.com/en/docs/registration-terms.

“Publisher” means the Customer when it publishes Scenarios and offers Operating Licenses through the Services.

“Operator” means the Customer when it operates Quests for Participants, based on its own Scenarios or on Scenarios for which it has acquired an Operating License.

“Publisher Commission” means any Publisher remuneration on Paid Registrations under the frozen Operating License terms. “Platform Fees” refer only to historical conditions of payments already initiated; LEZO deducts no new Platform Fee.

“Registration” means the admission of a team or a Participant to a Quest. A “Paid Registration” is a Registration whose price is paid through the Services.

“Operating License” means the right, granted by a Publisher to an Operator and acquired through the Services, to operate one or more Scenarios of that Publisher.

“Participant” means any person who registers for, joins or plays a Quest, alone or in a team.

“Quest” means the treasure hunt or interactive route operated by an Operator on the basis of a Scenario, with its own settings.

“Scenario” means the game content designed in the Services, in particular its steps, texts, challenges, media and progression rules, from which each Quest is derived.

“Stripe” means the payment service provider Stripe and the companies of its group that provide the Stripe Connect service.

3. Subscription to the Services

3.1 LEZO makes available to Customers a set of Services accessible on the Internet in SaaS mode only and directly on the Application.

The use of the Services and the Mobile Application by Users is subject to the terms of the User Terms, accessible in the Application.

LEZO may modify and develop the Services and modify its User Terms. The Customer must in any event comply with the applicable User Terms in order to benefit from the Services.

The Customer furthermore guarantees and stands surety for compliance by its Users with all the conditions of use of the Application as defined in the User Terms in force. It is responsible for such compliance towards LEZO.

3.2 Subscriptions

The different Services and subscription conditions (the “Subscriptions”) are defined on the Web Application.

The durations, plans, prepaid credits, price scales and billing methods offered are defined on the Web Application or, where applicable, in the relevant payment interfaces.

The Services may rely in particular on organization plans, prepaid team credits, usage-based billing, or a combination of these methods. Unless otherwise stated in the Application or agreed in writing, billable consumption linked to teams is attached to the start or effective consumption of a team in a Quest, and not to the mere creation or configuration of a Quest or team.

Prepaid team credits are attached to the relevant organization. When available, they may be consumed before any usage-based billing, according to the rules applicable to the organization's plan.

The durations and price scales of the Subscriptions offered are defined on the Web Application, and are renewable by tacit renewal where the subscribed plan so provides.

The Subscription will be automatically renewed for an identical period unless terminated by the Customer before the anniversary date of the Subscription by registered letter with acknowledgment of receipt or via the Application settings provided for this purpose.

3.3 Conditions of registration and access to the Services

3.3.1 The Customer is solely responsible for the proper functioning of its computer equipment and its access to the application. It is solely responsible towards LEZO for the maintenance of its computer system allowing a reliable connection with the Services. All costs incurred by the Customer for its access to the Application and use of the Services, and in particular connection costs and costs of acquiring or renewing computer equipment, are the exclusive responsibility of the Customer.

LEZO cannot be held liable in particular in the event of damage to the computer equipment of the Customer or its Users by malicious software, or in the event of interruption or failure of the Internet connection of the Customer or its Users.

3.3.2 In addition to acceptance of these terms and of the User Terms, access to the application and use of the Services is subject to the creation of a Customer account using the form provided for this purpose, including in particular:

  • the name of the Customer company
  • email to log in
  • Data for the creation of Quests, it being specified that the Customer is free to choose the Data provided, including descriptions, questions, images and audio files

The Customer will communicate to LEZO all information requested by LEZO for the purpose of creating and administering the account.

The Customer undertakes to:

  • provide true, accurate, up-to-date and complete information as requested during the registration process
  • maintain and promptly update all information concerning them in order to keep it true, accurate, up-to-date and complete

LEZO reserves the right to update at any time the list of information required to be provided for the creation and maintenance of the Customer's account.

3.3.3 As part of the creation and use of User access, the Customer is responsible for the use of the Application and Services by its Users.

The Customer grants authorizations and usage rights to its Users whom it has invited to connect to the Application.

In order to provide access to the Services to Users, a QR code, invitation link, team access or any other mechanism provided by the Application may be generated or made available to the Customer, which is responsible for communicating it to its Users where this falls within its organization. These access methods allow Users to access the Services of the Mobile Application or the relevant features.

The Customer guarantees in any case that it holds all the rights and/or authorizations necessary to administer the creation and management of its Users' access.

LEZO reserves the right to update at any time the list of information required to be provided for the creation and maintenance of User accounts and access.

3.3.4 The list of information required to register and access the Application and the Services is defined in accordance with the terms and conditions set out in the LEZO Privacy Policy, said list being subject to modification by LEZO to ensure the best functioning of the Application.

If the Customer provides information that is false, inappropriate, outdated or incomplete, or if LEZO has valid reasons to suspect that such information is false, inappropriate, outdated or incomplete, LEZO may restrict, suspend or terminate the access of the Customer or any User to the Services under the conditions of Article 23.

It is the Customer's responsibility to ensure that its personal data used to create its account, and where applicable User access, is accurate and complete and to select a strong and secure password.

As LEZO does not have the means to verify either the identity or the status of Customers and Users, LEZO cannot be held responsible for identity theft in the event of fraudulent registration or use. In any case, any person who notices the theft of their identity when connecting must immediately contact LEZO at the following address: [email protected], in order to allow LEZO to carry out the relevant investigations and actions.

Access to the Customer's personal space or to the Mobile Application by a User is strictly personal and non-transferable. As such, any use of the Customer's identifier and password on the Application creates a presumption of connection to the Application. The Customer is therefore solely responsible for the use of its identifiers and passwords and for access to the Mobile Application by its Users, for information that may be transmitted by the application as well as for any use of any of the Services of the Application.

The Customer alone shall ensure their confidentiality. Its identifier and password must under no circumstances be shared or communicated to third parties. Under no circumstances can LEZO be held responsible for the loss of an identifier and/or a password.

If the confidentiality of a password or a QR code or any element allowing access to the Application and the Services is compromised, the Customer undertakes to inform LEZO as soon as possible so that a new password, QR code, or any other necessary element, where applicable, can be issued. It is specified that the Customer has the option of resetting its password at any time via the Application; the Customer then receives, for the reset, an email at the address it communicated with a link or single-use code.

The Customer remains responsible for the use of its personal account and the access of its Users until it has informed LEZO of the risk of compromised confidentiality. The Customer will be responsible for any use of its account and the access of its Users unless it reports misuse or identity theft in the forms indicated above.

3.4 Additional Services and modification or deletion of Services

The Application and Services are subject to change.

LEZO may be required to offer additional services or new features linked to the Services. These may, where applicable, be subject to additional, distinct or supplementary terms and conditions.

LEZO reserves the right to modify or delete all or part of the Services offered on the Application. Where such a modification significantly affects the rights or obligations of the Customer, it is brought to the Customer's attention under the conditions of Article 17.

4. Price

4.1 Confirmation of the subscription entails full and complete acceptance of these Platform Terms according to the terms hereof and forms a contract between LEZO and the Customer (the “Contract”).

The prices of the Services subscribed to are those in effect on the day of their subscription. They are denominated in euros and calculated excluding taxes. Consequently, they will be increased by the VAT rate and/or any other tax and/or fees applicable on the date of acceptance of the subscription.

LEZO reserves the right to modify its prices at any time subject to informing the Customer at least 30 days in advance. Unless expressly refused by the Customer, the modifications will be deemed accepted by the Customer and will come into force on the day of renewal of the Subscription.

Prices may be modified in the event of a legislative and/or regulatory change likely to result in price variations such as: modification of the applicable VAT rate, introduction of new taxes, modification of an existing tax, etc.

The prices offered include the discounts and rebates that LEZO may grant.

4.2 Subscriptions and consumption are invoiced according to the methods defined on the Web Application, in the relevant payment interface or in the specific terms agreed between the Parties.

Where billing depends on the number of teams, the triggering event is, unless otherwise stated, the start or effective consumption of a team in a Quest. The creation, preparation or configuration of a Quest or team does not in itself constitute a team billing trigger.

Prepaid team credits may be purchased in advance and consumed when teams are started. Depending on the organization's plan, a started team may be covered by a prepaid credit, included in a specific usage right, or subject to usage-based billing.

4.3 LEZO receives subscription and team credit revenue. It collects no new Platform Fees on Paid Registrations or Operating Licenses. Acquired license terms may provide a Publisher Commission under Articles 20 and 29.

5. Conditions and terms of payment

In order to validate its Subscription, purchase prepaid credits or carry out any other paid transaction owed to LEZO, the Customer is redirected to the payment pages of Stripe, LEZO's payment provider, or to the applicable payment interface. The Customer may modify its order and correct any errors before proceeding to payment where the interface used allows it.

The Mobile Application offers Personal creator subscriptions and team credit packs through Apple or Google in-app purchases, verified by RevenueCat. Personal grants the same rights as on the web: three scenarios and five included teams each month, without resale. Professionals subscribe on the web platform. The store displays the localized price, taxes, renewal and cancellation conditions before payment; mobile prices may differ from web prices. Historical products remain recognized for started purchases, renewals and restoration. Changing the number of credits requires a new product and never alters existing balances.

LEZO's invoices are payable, without discount, on the day the invoice is issued. Payment and direct debit methods are organized and implemented via the platform of the payment provider designated by LEZO. Payments may alternatively be made via bank transfer or any other means upon agreement of the Parties.

The applicable terms of service are those of the provider used for payment, available in particular at the following address: Stripe (https://stripe.com/fr/legal/ssa).

It is understood that the terms of use of the payment Application of the provider designated by LEZO are issued by said provider and that LEZO has no control over them. The conditions of use of the Application and of the provider's services are subject to changes and modifications beyond the control of LEZO, and the Customer is solely responsible for its use of this payment platform.

LEZO's invoices are drawn up in Euros.

The Customer must pay the total amount of each invoice, including all taxes mentioned therein, without being able to set off any sums due or allegedly payable by LEZO. Payment conditions are defined by LEZO and are subject to change.

The Customer agrees to pay all taxes, government fees, transfer fees and exchange fees applicable to all payments made.

The Customer undertakes to pay all invoices upon receipt and without deduction. Late payment penalties equal to three times the French legal interest rate are automatically due on the day following the payment date mentioned on the invoice without a reminder being necessary. This penalty is calculated on the amount including tax of the sum remaining due, and runs from the due date of the price without any prior formal notice being necessary.

Any late payment results in the payment of a fixed compensation for recovery costs of forty (40) euros. If the recovery costs are higher than this fixed amount, additional compensation will be due upon presentation of supporting documents. In the event of non-payment, LEZO reserves the right to restrict or suspend access to all or part of the Application and, failing regularization, to terminate the contractual relations between LEZO and the Customer, under the conditions of Article 23.

If an invoice is disputed, payment of the disputed invoice remains due. If the dispute is accepted, a credit note will be sent to the Customer as soon as possible.

The Customer also accepts the following:

  • Depending on the location of the transaction, exchange transaction fees or different prices (e.g. exchange rates) may be applicable.
  • Where the Subscription or the subscribed plan so provides, the Customer will be automatically billed using its payment method at the start of each Subscription period or according to the applicable usage-based billing rules, for the fees and taxes applicable to that period or that consumption.

6. Duration – withdrawal – termination – consequences of termination

6.1 Duration

The Contract between the Parties subject to the terms and conditions hereof takes effect on the date on which the Customer registers to use the Application. Where the Customer has subscribed to a Subscription, the Subscription runs for the subscribed term and is renewable by tacit renewal for identical periods. In the absence of a Subscription, the Contract is concluded for an indefinite term.

The subscription to the Services will be automatically renewed under the conditions defined above unless the Customer gives notice of termination of the Subscription under the terms of Article 3.2.

6.2 Withdrawal

As the Customer is a professional purchasing within the framework and for the needs of its main and usual professional activity, no right of withdrawal applies.

As a reminder, if the contract is concluded off-premises, does not fall within the main field of activity of the Customer, and the latter does not employ more than five (5) employees, the Customer has a withdrawal period of fourteen (14) days from the date of conclusion of the Contract, which it can exercise by sending LEZO an unambiguous letter with acknowledgment of receipt, the postmark being proof.

6.3 Termination

6.3.1 Termination in the event of breach of the Contract

6.3.1.1 Termination method

In the event of failure by either Party to fulfill any of its obligations, the Contract may be terminated by the other Party, at the fault of the defaulting Party.

Thus, in the event that one Party gives the other a notice of termination, by registered letter with acknowledgment of receipt, for non-compliance with one of the obligations imposed on it under this Contract, (i) if it is not possible to remedy the breach, the Contract will be immediately terminated upon written notification from the non-defaulting Party, at the fault of the defaulting Party, subject, where the termination is pronounced by LEZO, to the provisions of Article 23, (ii) if the breach can be remedied, the defaulting Party will have a period of 30 days from the date of first presentation of this formal notice to definitively put an end to the breach or failure. In this second case, if this breach or failure is not definitively put to an end within this period and the formal notice remains unsuccessful, the Contract may be terminated automatically, at the fault of the defaulting Party, by the non-defaulting Party.

Termination is carried out without prejudice to any damages that the Party notifying the termination may claim as a result of this breach by the defaulting Party and any recourse relating to the breach(es) noted.

The exercise of this right of termination does not exempt the defaulting Party from fulfilling the obligations contracted until the termination takes effect, without prejudice to any recourse available to the other Party.

6.3.1.2 Consequences of termination

All amounts owed by the Customer to LEZO for use of the Application and Services will become immediately due. The total amount of sums owed by the Customer for the current Subscription period upon termination remains due. Where the termination is pronounced for breach by the Customer, no refund will be due to the Customer for any reason whatsoever.

In the event of termination of the Contract, the Subscription will be automatically terminated.

It is further understood that unless otherwise agreed, Customer Data (as defined below) will be deleted or anonymized within 30 days after the effective end of the Contract, subject to temporary backups, legal obligations, evidentiary needs or reasonable technical constraints and to the provisions of Article 9 relating to commercial history shared with another Customer. The Customer may request from LEZO the export or retrieval of the available Customer Data before the effective end of the Contract.

6.3.2 Termination of the Subscription

6.3.2.1 Termination by LEZO

LEZO may terminate the Contract or the subscribed Subscription under the conditions of Article 23. Where the termination is not based on a breach by the Customer, the sums paid for the Services for the remaining term are refunded to the Customer pro rata to the sums paid.

LEZO may also decide not to renew the Subscription at the end of the subscribed Subscription period, by notification made at least thirty (30) days before the Subscription renewal date.

It is also understood that in the event of non-payment of any sums due for the Subscription via the platform of LEZO's payment provider, LEZO may suspend the Subscription and, failing regularization, terminate it under the conditions of Article 23.

6.3.2.2 Termination by the Customer

The Customer may notify its wish to terminate its Subscription for any reason whatsoever by registered letter with acknowledgment of receipt, or directly on the Application, or by any other means defined and communicated by LEZO. The termination takes effect at the end of the current Subscription period, without renewal.

It is specified that in the event of termination notified during the Subscription period, the Customer and its Users retain access to the subscribed Services, including the Services related to the creation and administration of Quests and the Mobile Application, until the end of said period. The sums due for the current Subscription period remain due.

The Customer may also terminate the Contract at any time by writing to LEZO, subject to the commitments made towards LEZO and towards the other Customers, in particular under Operating Licenses and ongoing Registrations.

6.3.2.3 Consequences of termination

Subject to the terms of Article 6.3.2.1 §1, all sums owed by the Customer to LEZO for the use of the Services until the effective date of the end of the Subscription will become immediately due, and more generally all invoices due to LEZO and not yet paid. No refund for Services provided will be due for any reason whatsoever.

No indemnity, compensation or damages of any nature whatsoever will be owed by either Party to the other Party.

In the event of expiration or termination of the Contract, the Subscription taken out by the Customer will be automatically terminated.

It is further understood that unless otherwise agreed, Customer Data will be deleted or anonymized within 30 days after the effective end of the Subscription, subject to temporary backups, legal obligations, evidentiary needs or reasonable technical constraints and to the provisions of Article 9 relating to commercial history shared with another Customer. The Customer may request from LEZO the export or retrieval of the available Customer Data before the effective end of the Subscription.

7. Availability of the Application

The Application is in principle accessible 24 hours a day, 7 days a week, except for interruptions, scheduled or not, for maintenance needs or in cases of force majeure.

LEZO undertakes to correct as soon as possible bugs and repetitive defects in the Application which have been reported to it by the Customer.

As far as possible, LEZO will inform the Customer in advance of the performance of maintenance operations or updates.

LEZO will make its best efforts to ensure that the Application is accessible on a continuous basis.

Thus, in the event of a service interruption and whatever the cause, LEZO will make its best efforts to ensure that the Application is put back into service as soon as possible.

LEZO may regularly evolve the Application in order to maintain, improve or adapt the Services, within the framework of a best-efforts obligation.

LEZO undertakes to implement reasonable technical and organizational measures, consistent with the state of the art applicable to its activity, in order to contribute to the IT security of its Services and the Application, in particular against intrusion or virus risks.

LEZO reserves the right to interrupt the operation of the Services or prohibit access to the Services or the Application when the security of the Application is threatened (security breach detected, intrusion, data corruption, virus, malware).

LEZO may also carry out planned shutdowns of Services, in part or in whole, in particular to carry out maintenance or update work on the Application. These shutdowns and maintenance work will be carried out as far as possible during periods of low activity. LEZO will in this case use its best efforts, where possible, to notify the Customer in advance of any planned shutdown of the Services.

LEZO undertakes to restore access to the Services and the Application as quickly as possible.

It is understood that LEZO is bound by a best-efforts obligation. LEZO's liability for unavailability of the Application, in whole or in part, arises and is limited under the conditions of Article 10.1.2.

Likewise, LEZO cannot be held liable in the event of a malfunction, inability to access, or poor conditions of use of the Application attributable to unsuitable hardware or equipment of the Customer, to disturbances attributable to the Customer's access provider, to congestion on the Internet network, and/or for any other reason unrelated or external to LEZO.

Planned shutdowns and security-related interruptions carried out in accordance with this article give rise to no credit note, refund or credit, without prejudice to LEZO's liability under the conditions and limits of Article 10.1.2.

8. Intellectual property

8.1 License of use

LEZO grants the Customer a personal, non-transferable, non-exclusive and non-sublicensable license, authorizing the Customer to access and use the Application exclusively within the framework of the use of the Services by the Customer and its Users under the terms and conditions herein. The license to use the Application is granted for the exclusive needs of the Customer, who is prohibited from allowing a third party to access and use the Application, other than the Participants in its Quests, the members it invites into its organization and the Operators holding its Operating Licenses, under the conditions provided for herein.

8.2 Intellectual property of LEZO

These terms do not confer on the Customer any intellectual property rights over the Application, and it is recalled that LEZO is and remains the sole owner of the intellectual property rights over the Application.

It is understood that LEZO may use open source code for certain parts of the code. LEZO does not hold any ownership rights in this open source code and makes no warranty, express or implied, regarding said open source code.

Subject to the foregoing, LEZO is the holder of all necessary rights relating to the Application, as well as all interfaces and applications developed and/or operated by LEZO to access the Services, available and future, on all present and future operating systems and platforms, as well as all elements relating to all current or future trademarks of LEZO, including all present and future registrations, logos, designs, images, photographs, illustrations and all other associated elements and rights.

Nothing contained herein or in the User Terms shall give the Customer or its Users the right to use the name of LEZO, or the trademarks, logos, domain names and other distinctive attributes of the LEZO brand. LEZO owns all right, title and interest in the Services and/or LEZO.

LEZO exclusively holds all rights relating to the content and data (other than Customer Data) included or accessible on and/or through the Application, in particular any text, graphic, logo, name, brand, designation, tab, functionality, image, sound, data, photograph, graphic, and any other material or software.

These elements must not under any circumstances be downloaded, copied, altered, modified, deleted, distributed, transmitted, broadcast, sold, rented, licensed or exploited (in whole or in part) in any way, without the express written consent of LEZO. The Customer agrees not to use or exploit these elements for purposes other than those referred to herein and in the User Terms. In addition, except for mandatory legal provisions, the Customer is not authorized to modify, improve, edit, translate, decompile, disassemble or create one or more derivative work(s) from the Application (in whole or in part).

Finally, LEZO may use free software, and make it available to the Customer and its Users in compliance with the licenses that govern them. The Customer and its Users may reuse this software subject to complying with these same conditions.

The Customer stands surety for compliance with these terms by its Users.

8.3 Eviction guarantee

Subject to the terms of Article 8.2 concerning any open source code which may be used, LEZO declares that it is the owner of all intellectual property rights relating to the Application for the purpose of concluding the Contract.

LEZO guarantees in particular:

  • that the Application does not constitute an infringement of a pre-existing work
  • that it has respected and will respect the intellectual property rights of third parties, in particular copyright, rights to designs and models, patents and trademarks

As such, LEZO guarantees the Customer against any action, complaint, claim or opposition from any person invoking an intellectual property right or an act of unfair competition and/or parasitism which the performance of these terms would have infringed.

For its part, the Customer undertakes to immediately notify LEZO of any infringement of the Application of which it becomes aware, LEZO then being free to take the measures it deems appropriate.

8.4 The rights in Scenarios and their operation under an Operating License are governed by Articles 27 and 30 and by the contracts concluded between Publishers and Operators.

9. Customer Data

“Customer Data” means the information, documents, exchanges and any other information communicated or processed by the Customer and/or the Users on or via the Application, including in particular all data and elements indicated or inserted in the context of the creation and administration of Scenarios and Quests.

LEZO implements reasonable technical and organizational measures designed to contribute to the security, integrity and availability of Customer Data processed as part of the Services, taking into account the nature of the service, the risks, the state of the art and the available means.

The Customer remains responsible for keeping the source copies, supporting documents, original content, commercial documents or elements it needs independently of the Application. The Services do not constitute a permanent archive for the Customer's own obligations.

The Customer is the sole holder of the rights to its Customer Data processed within the framework of the Services.

The Customer grants, as necessary, to LEZO and its subcontractors, a non-exclusive, worldwide, free and non-transferable license allowing it to host, cache, copy and display said Customer Data for the sole purpose of performing the Services and exclusively in association with or in connection with them.

This license will automatically terminate upon termination of the contractual relations between the Parties, unless there is a need to continue hosting Customer Data and processing it.

The Customer declares and guarantees that it has all the necessary authorizations to use its Customer Data within the framework of the Services and that it can freely grant a license under the terms referred to above to LEZO and its subcontractors.

The Customer further declares and guarantees that by using its Customer Data as part of the Services, it does not exceed any rights that may have been granted to it in all or part of its Customer Data and that it does not infringe the rights of third parties.

The Customer undertakes to indemnify LEZO for all financial consequences that LEZO may be required to bear due to a breach by the Customer of the above-mentioned guarantees concerning its Customer Data.

The Customer will ensure that it does not place, when using the Services, any Customer Data which would require LEZO to comply with specific laws or regulations other than those expressly provided for herein.

Access to Customer Data is reserved solely for the Customer and its Users, subject to the access necessary for the performance of an Operating License described in Article 22.

However, solely for purposes related to the Services, support, maintenance, security, billing, the calculation of Publisher Commissions and reconciliation of historical Platform Fees, reversibility or compliance with legal obligations, LEZO may also access Customer Data within the necessary limits. Data retention by LEZO is limited to the applicable purposes, subject to legal retention periods, evidentiary needs, temporary backups and reasonable technical constraints.

Where Customer Data relate to commercial history shared with another Customer, in particular an Operating License, a license order or the payment of a Paid Registration, they may be retained after the end of the Contract to the extent necessary for the performance of the commitments made towards that other Customer, compliance with legal obligations, in particular accounting obligations, and proof of the parties' rights.

The Customer is informed and accepts that LEZO may access its Customer Data and transmit them upon request from an administrative or judicial authority authorized to access Customer Data, in compliance with the applicable regulations.

Unless said request prevents it, LEZO will inform the Customer without delay of the existence of the request and of the Customer Data that have been transmitted.

The Customer is solely responsible for the creation, selection, design and use of Customer Data by Users in the context of the Services. The Customer is also responsible for Personal Data processing performed for its own purposes, including in relation to its Quests, content, participants, players, teams, media, participation conditions, commercial offers and relationships with its own users. It is the Customer's responsibility to comply with the applicable legislative and regulatory provisions, in particular regarding personal data protection, and to obtain the required information, authorizations or consents where this falls under its responsibility.

The Customer acknowledges that some Service features may, depending on the settings chosen for a Quest, process location data, photos, media, answers, photo or media consents or refusals, participant data, results, rankings and participation history. The Customer is responsible for checking that enabling those features is appropriate for its audience, its places of operation, the information given to participants and the legal bases or consents it determines under its responsibility.

The deletion, anonymization or dissociation mechanisms available in the Application or performed by LEZO operate within the technical limits of the service, the Quest settings, the retention needed for rankings, results, proof of consent, support, legal obligations, temporary backups and applicable evidentiary needs.

The Customer acknowledges that LEZO has no control over the transfer of Customer Data via the public telecommunications networks used by the Customer and Users to access the Services, and in particular the Internet network. The Customer acknowledges and accepts that LEZO cannot guarantee the confidentiality of Customer Data when they are transferred over said public networks.

Consequently, LEZO cannot under any circumstances be held liable in the event, in particular, of misappropriation, capture or corruption of Customer Data, or any other event likely to affect them, occurring during their transfer over public telecommunications networks.

10. Liability

10.1 Liability of LEZO

10.1.1 LEZO declines all responsibility for the results obtained from the use of the Application and Services by the Customer and Users.

The Customer is solely responsible for the use and the results provided under the Services. The Customer uses the Application and the results obtained by its implementation under its exclusive responsibility. In particular, LEZO cannot be held liable for errors, whatever the cause, in the results obtained, which it is up to the Customer and its Users to verify.

It is furthermore understood, for the avoidance of doubt, that LEZO is not a party to the contracts and agreements concluded between the Customer and its Users, between a Publisher and an Operator, or between an Operator and the Participants. In any case, it is up to the Customer to ensure the proper management of its obligations, and LEZO cannot be held responsible for any failure by the Customer to fulfill any of its obligations in the context of its activity.

As the Application is standard software designed to satisfy the greatest number of customers, LEZO cannot guarantee its adaptation to the specific needs of the Customer.

For the avoidance of doubt, LEZO makes no other express or implied warranty in relation to the Services, including, without limitation, any implied warranty of quality or fitness of the Application for a particular purpose. LEZO does not guarantee the results of the Services. LEZO does not guarantee that the features of the Services will meet the Customer's requirements. The Parties acknowledge that software may contain errors and that not all errors are economically correctable or that it is not always necessary to correct them. LEZO therefore does not guarantee that all failures or errors in the Application will be corrected.

10.1.2 Generally speaking, each Party will be liable, in accordance with ordinary law, for the proper performance of this Contract and for its contractual breaches vis-à-vis the other Party resulting from its proven fault.

LEZO's liability concerning the provision of the Services and access to the Application is a best-efforts obligation.

LEZO shall not be liable for loss of Customer Data that is not attributable to a proven fault of LEZO. The Customer remains responsible for keeping the source copies and supporting documents necessary for its activity and its own obligations.

LEZO cannot under any circumstances be held liable for immaterial or indirect damage suffered by the Customer which may arise due to or during the performance of this Contract and its consequences. Indirect damage means in particular, without this list being exhaustive, loss of earnings or profits, operating losses, loss of data, loss of opportunity, loss of profit, commercial damage, and the consequences of complaints or claims by third parties against the Customer.

LEZO's liability for unavailability of the Application, in whole or in part, may only arise in the event of a proven breach of its best-efforts obligation. It remains subject to the exclusion of intangible or indirect damage and to the cap provided for in this article. Planned shutdowns and security-related interruptions carried out in accordance with Article 7, as well as unavailability resulting from force majeure or a cause beyond LEZO's control, do not give rise to its liability.

LEZO cannot in any way be held liable for any harmful consequences that could arise due to the use of Customer Data provided by the Customer and its Users.

LEZO is not required to compensate the harmful consequences of faults committed by the Customer, Users or third parties in connection with the performance of the Services.

In any event, except in the case of bodily injury, fraud, gross or intentional misconduct, or liability that cannot be limited under an applicable mandatory rule, LEZO's possible financial liability, if it were to be established, cannot exceed the sums paid by the Customer for the Services which gave rise to LEZO's liability, subject to payment by the Customer, where applicable, of all overdue invoices.

LEZO's liability is excluded for breakdowns or damage resulting from contamination of the Customer's computer system by viruses, attacks and malicious acts of third parties.

LEZO's liability cannot under any circumstances be sought in the following cases, without this list being exhaustive:

  • use of the Services in a manner not expressly authorized herein
  • modification of all or part of the Application or of the information accessible via the Services not carried out by LEZO
  • use of all or part of the Services when LEZO, following a difficulty or for any other reason whatsoever, had recommended suspending their use
  • use of the Services in an environment or according to a configuration not complying with LEZO's technical prerequisites, or in connection with third-party programs or data not expressly endorsed by LEZO
  • loss of the Customer's data following an intervention by LEZO or by a third-party service provider designated by the Customer or by LEZO, where the Customer has not taken the precaution of backing up its data prior to this intervention when requested to do so
  • the occurrence of any damage resulting from a fault or negligence of the Customer, or which the Customer could have avoided by seeking LEZO's advice
  • use in connection with the services of programs not provided or endorsed by LEZO and likely to affect the Services or the Customer's data

10.2 Liability of the Customer

The Customer is required to ensure, and stands surety for, compliance with the User Terms by all of its Users.

By providing any Customer Data on the Application, directly or where applicable through its Users, the Customer is required to comply with the legal and regulatory provisions in force and the provisions hereof.

The Customer is solely responsible for the Customer Data, and it is incumbent on it to delete any contentious content.

Without prejudice to the foregoing, in the event of any abuse or breach of these terms, LEZO reserves the right to take any useful action with regard to any Customer in order to preserve its rights.

10.3 Operation of the Services

The Customer undertakes:

  • not to circumvent the security features of the Application and Services
  • not to disrupt the functioning of the Application and Services or impose a disproportionate load on them (e.g. spam, denial of service attack, viruses, game algorithm), and/or not to post any data in any form that contains viruses or any other harmful code
  • not to reverse engineer, decompile, disassemble, decipher or generally attempt to obtain the source code of the Application or any related technology, or any part thereof, except under mandatory legal provisions
  • not to manipulate identifiers to conceal the origin of any use of data transmitted through the Services
  • not to use any technique allowing the appearance or operation of the Application to be simulated
  • not to use software, devices, manual or automated coding robots or other means to access, “decompose”, “analyze” or “index” the Services or any related data or information

The Customer is required to report any abuse it may notice on the Application by:

  • communicating, as soon as it becomes aware of it, any information relating to information or data presumed to be contrary to the legal provisions in force or in breach of these Platform Terms or the User Terms, by email to the address indicated in Article 25 or by registered mail with acknowledgment of receipt to the address indicated in Article 36 hereof
  • informing LEZO of any complaint or action by a third party, in the same manner
  • responding as quickly as possible to any request for information from LEZO

It is up to the Customer to ensure that the storage and distribution of Customer Data via the Application comply with the following rules:

  • that it or its Users do not act in a dishonest or illegal manner by providing inappropriate, misleading or objectionable data. The Customer acknowledges that any publication of Customer Data may give rise to its liability towards third parties
  • the Customer or its Users do not violate any mandatory confidentiality rules, in particular those linked to their sector of activity
  • the Customer or its Users do not transfer or make the Services available to a third party, other than for the operation of Quests for Participants and the granting of Operating Licenses provided for herein
  • the Customer or its Users do not provide any service using LEZO's Services without LEZO's prior written agreement, other than the operation of Quests for Participants and the granting of Operating Licenses provided for herein

The Customer ensures that the storage and distribution of Customer Data transmitted on the Application, which are the subject of the Services, and more generally any content, do not constitute:

  • an infringement of the intellectual property rights of third parties, in particular concerning patents, trademarks, trade secrets, copyright or any other property right
  • a copy or use of information, content or data of other Users available on the Application for purposes other than those intended and expressly authorized. The Customer and Users undertake not to rent, lease, lend, sell/resell access to the Service or any information or data collected when consulting the Application. The Customer undertakes to ensure that its Users do not use the Services for the purpose of communicating information to suppliers competing with its own suppliers.
  • an attack on persons (in particular defamation, insults, abuse, harassment, denigration, slander, discrimination, etc.) or on privacy (unauthorized disclosure of personal information, in particular of other Users, etc.)
  • an attack on public order (in particular incitement to terrorism) and public decency (in particular, apology for crimes against humanity, incitement to racial hatred, pornography, in particular child pornography, etc.)

The Customer stands surety for and guarantees compliance with these obligations by all of its Users.

11. Personal data

11.1 “Personal Data” means any information relating to an identified or identifiable natural person. An identifiable natural person is a natural person who can be identified, directly or indirectly, in particular by reference to an identifier, such as a name, an identification number, location data, an online identifier, or to one or more factors specific to their physical, physiological, genetic, mental, economic, cultural or social identity.

The Parties undertake to collect and process any Personal Data in accordance with the applicable regulations relating to the use or protection of personal data (the “Applicable Regulations”), and in particular, as of the date hereof, the provisions of Regulation (EU) 2016/679 of April 27, 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data (the “GDPR”) and the French Data Protection Act of January 6, 1978, as amended (the “LIL”).

In particular, when a Party is a data controller within the meaning of the Applicable Regulations and thus decides on the purposes and means of processing Personal Data, this Party undertakes to:

a) Process Personal Data lawfully, fairly and in a transparent manner in relation to the data subjects b) Collect Personal Data for specified, explicit and legitimate purposes and not further process Personal Data in a manner incompatible with those purposes c) Process Personal Data that are adequate, relevant and limited to what is necessary in relation to the purposes for which they are processed d) Process accurate Personal Data and, where necessary, keep them up to date e) Keep Personal Data in a form which permits identification of data subjects for no longer than is necessary for the purposes for which they are processed f) Process Personal Data in a manner that ensures appropriate security, including protection against unauthorized or unlawful processing and against accidental loss, destruction or damage, using appropriate technical and organizational measures

The LEZO Privacy Policy is accessible on the Application.

11.2 It is also recalled that within the framework of the Application Services provided to the Customer and its Users by LEZO, LEZO may act, within the meaning of the Applicable Regulations, as a processor and the Customer as a data controller.

In this case, the Customer informs its Users of the processing operations of their Personal Data at the time of their collection and more generally of the policy implemented by the Customer relating to the processing of Personal Data, in compliance with the rules relating to the use of Personal Data, and within the framework of the relationship between the Customer and the User, to which LEZO is not a party. It is in any case up to the User to contact the Customer regarding the processing of their Personal Data.

The GDPR Addendum constitutes the data processing agreement applicable where LEZO processes Personal Data as a processor on behalf of the Customer in the context of the Services. In the event of breach of this addendum, the injured Party may terminate the Contract in accordance with the terms defined herein. The Customer may consult the GDPR Addendum on the Web Application. The Customer may also contact LEZO in accordance with the terms defined herein in order to submit an alternative data processing agreement proposal.

12. Confidentiality

The Parties reciprocally undertake a general obligation of confidentiality relating to any confidential oral or written information, whatever it is and whatever the medium, exchanged in the context of the performance of the Services.

Consequently, the Parties undertake to:

  • keep all confidential information strictly secret, and in particular never disclose or communicate, in any way, directly or indirectly, all or part of the confidential information, to anyone, without the express prior written authorization of the other party
  • not use all or part of the confidential information for purposes or for an activity other than the performance of the Services
  • not make a copy of all or part of the confidential information without the prior written authorization of the other Party
  • any information of a confidential nature will only be communicated to a third party with the express prior written consent of the disclosing Party, except in the case of a mandatory request from a competent public authority pursuant to a legislative or regulatory text

The Parties guarantee compliance with this confidentiality commitment by all of their employees, managers and officers.

This confidentiality commitment will remain in force for a period of three (3) years after the expiration or termination, for whatever reason, of the contractual relations of the Parties.

In any event, this obligation of confidentiality does not bind the Parties to the extent that the Confidential Information:

  • is generally accessible to the public, as well as information that becomes so, other than following a breach of this article
  • is obtained from third parties not subject to an obligation of confidentiality regarding this information
  • is or was developed independently by the Party receiving the information or was known by the latter before its receipt

Finally, each Party will be entitled to disclose any Confidential Information to its insurers, statutory auditors or lawyers, and to administrative or judicial authorities, upon production of the decision of the authorities concerned or when required by law.

13. Assignment and transfer

The Customer may not transfer or assign all or part of its rights and obligations arising from the Contract to any third party of its choice without the prior agreement of LEZO.

It is also expressly agreed that any changes that may occur in the legal entity of LEZO, such as, for example, merger, demerger, absorption, partial contribution of assets, assignment, transfer to a subsidiary and any other legal or commercial agreement with a third party, would have no effect on the existence or performance hereof.

14. Insurance

Each of the Parties certifies that it is insured with a reputably solvent company and has taken out an operating and professional civil liability insurance policy covering the financial consequences of the civil liability that it may incur as a result of its activity.

15. Force majeure

Cases of force majeure or fortuitous events are events beyond the control of the Parties, which they could not reasonably be expected to foresee, and which they could not reasonably avoid or overcome, to the extent that their occurrence makes the performance of the obligations completely impossible.

The Party invoking a case of force majeure must immediately notify the other Party of its occurrence, as well as of its end. If the event were to last more than thirty (30) days from the date of its occurrence, the Contract may be terminated by the most diligent Party, without either Party being able to claim damages.

This termination will take effect on the date of first presentation of the registered letter with acknowledgment of receipt terminating the Contract.

16. Notifications

Any notification from one of the parties to the other party required or permitted hereunder must be made in writing and sent by registered letter with acknowledgment of receipt, or by DHL, UPS or any equivalent service, to the last address communicated by the Customer to LEZO, and for LEZO, to the address mentioned below in Article 36 or alternatively and where applicable to the last address notified by LEZO to the Customer. The information and decisions that these Platform Terms provide for communicating on a durable medium may also be communicated by email to the address associated with the Customer's account.

17. Evolution of the Services – modifications to the Platform Terms and the User Terms

The Services may be modified from time to time, at the sole discretion of LEZO. LEZO may stop (temporarily or permanently) providing Customers and Users with the Services or any functionality thereof, or suspend or terminate any Customer account or User access in accordance with these terms, without incurring any liability towards the Customer.

The Services, these terms and the User Terms are subject to change. LEZO may offer additional services in the future which may be integrated into the LEZO Application, and which may, where applicable, be subject to distinct, supplementary and/or additional terms and conditions.

LEZO has the right to modify these terms and any other terms and conditions or policies relating to the use of the LEZO Application.

If LEZO makes substantial changes to these terms or to the User Terms, the Customer will be informed in advance, and in any event at least 30 days before changes affecting the rights or obligations of any party hereto are made, via the Application or by any other means, to give the Customer the opportunity to review the changes before they take effect.

In the event of refusal to agree to the modifications, the Customer may terminate its Subscription under the terms of Article 6.3.

18. Evidence, preservation and archiving

The computerized records kept in LEZO's systems in compliance with state-of-the-art security rules are proof of communications, unless proven otherwise. The Application records the acceptance of the contractual documents presented in it, in particular these Platform Terms when a User joins an organization by invitation, the Standard License Terms when an Operating License is purchased and the applicable terms of sale when a Paid Registration is ordered, together with the accepted document, its version, the date, the context of the acceptance and hashes of the IP address and browser. Archiving is carried out on a medium likely to ensure the faithful and durable nature required by the legal provisions in force. It is agreed that in the event of a discrepancy between LEZO's computerized records and the documents in paper or electronic format available to the Customer, LEZO's computerized records prevail, unless proven otherwise.

19. Payments via Stripe Connect

19.1 The sale of Operating Licenses by a Publisher and the sale of Paid Registrations by an Operator are collected through the Stripe Connect service, directly into the Connected Account of the selling Customer. The Customer opens and maintains this Connected Account with Stripe, accepts Stripe's terms applicable to connected accounts and provides Stripe with the information required under its verification procedures. LEZO has no control over these terms, procedures and decisions of Stripe.

19.2 Each sale is concluded by the selling Customer, in its own name and on its own behalf, with the buyer. LEZO provides a technical intermediation service and is not a party to the sales contracts concluded between Customers or between an Operator and the Participants. Sellers collect the price into their Connected Account. Any Publisher Commission is deducted at capture and transferred in full to the Publisher under Articles 20 and 29; LEZO retains no share on new sales.

19.3 As long as its Connected Account is not able to accept payments, the Customer may offer neither paid Operating Licenses nor Paid Registrations.

19.4 The payment processing fees charged by Stripe are governed by the terms agreed between the Customer and Stripe for its Connected Account.

19.5 Claims, disputes, payment objections and refunds relating to payments received on a Connected Account are handled by the Customer holding that account, in accordance with Stripe's terms and the terms of the relevant sales contract. The refund of a Paid Registration from the Application is governed by Article 33.5.

20. Publisher Commissions and historical conditions

20.1 LEZO deducts no new Platform Fee. An organization selling its own quests pays no Publisher Commission.

20.2 Paid Registrations under an Operating License use the commission tiers and optional minimum frozen in the acquired entitlement. Rank is assigned at capture using the lifetime cumulative number of captured Paid Registrations for the Publisher–Operator pair; renewal never resets it.

20.3 Stripe deducts the Publisher Commission at capture, capped at the payment amount. SaaS transfers the entire commission to the Publisher’s Connected Account. An unavailable beneficiary account prevents a new commission-bearing sale. Interrupted transfers are retried, subject to Stripe’s available balance.

20.4 LEZO deducts no commission from the price of Operating Licenses.

20.5 Financial records preserve fees and transfers. Acquired entitlements and frozen policies on pending historical payments retain their previous conditions.

20.6 Changed commercial conditions concern newly acquired entitlements and never change existing rights, counters or financial records retroactively.

20.7 Refunded application fees are returned proportionally, with reversal of the Publisher’s transfer where needed. Historical conditions continue to apply to historical payments.

21. Presentation and ranking of offers

21.1 The Services do not offer Participants a public catalog bringing together the Quests of several Operators. Participants access a Quest through the means the Operator communicates to them, in particular a link, a QR code or an invitation. If such a catalog is set up, its listing conditions and its main ranking parameters will be described in these Platform Terms before it is put into service.

21.2 Where the Services present to Operators the list of Publishers offering Operating Licenses, a Publisher appears on it when it has at least one active public offer including at least one active price, at least one Scenario and at least one active category, and its Connected Account is able to accept payments. Publishers are presented in alphabetical order of their name.

21.3 A Publisher's offers are presented in the order defined by that Publisher and then, where the order is equal, in alphabetical order of their name. The prices of an offer are presented in the order defined by the Publisher and then by creation date. Categories are common to all Publishers; they are created, modified and ordered by LEZO, and are presented in the order so defined and then in alphabetical order; each Publisher assigns its offers to the existing categories and the Operator may filter offers by category. An offer reserved for holders of another Operating License is presented only to Operators who meet that condition.

21.4 No direct or indirect remuneration paid to LEZO influences the presentation or order of Publishers and their offers. The level of the Platform Fees and the revenue generated have no effect on this presentation.

21.5 Any modification of these parameters is notified to Customers under the conditions of Article 17.

22. Differentiated treatment and access to data

22.1 Where LEZO, or an undertaking it controls, acts as a Publisher or an Operator, it is subject to the same presentation, ranking and Platform Fee conditions as the other Customers.

22.2 The Operator has access, for its Quests and within the limits of the Application's features, to the data necessary for their operation, in particular teams, progress, answers, scores, rankings, end-of-game feedback, media and, where these features are enabled, live tracking positions and route histories. The payment data for its sales are accessible from its Connected Account.

22.3 The Publisher has access, for the Operating Licenses it has granted, to the data necessary for their management, in particular orders and the Quest settings submitted for its approval. It has access to the data of Participants in the Operators' Quests only to the extent provided for by the Application's features.

22.4 LEZO accesses the data provided or generated by Customers and Participants to the extent necessary for the provision and security of the Services, the invoicing of its services, the calculation of Publisher Commissions and reconciliation of historical Platform Fees, support and compliance with its legal obligations. LEZO does not communicate to a Customer the data specific to another Customer, other than those necessary for the performance of an Operating License concluded between them or visible in the presentations and rankings provided for by the Services.

22.5 The processing of personal data carried out in this context is subject to Article 11 and the GDPR Addendum.

23. Restriction, suspension and termination by LEZO

23.1 LEZO may restrict or suspend all or part of the Customer's or a User's access to the Services, in particular the sale of Operating Licenses or Paid Registrations, or remove an offer from the presentation provided for in Article 21, in the event of a breach by the Customer of these Platform Terms or the User Terms, non-payment, a risk to the safety of Participants, Users or the Services, manifestly illegal content, fraud or serious suspicion of fraud, restriction of its Connected Account by Stripe, a request from an authority or a legal obligation. LEZO provides the Customer, on a durable medium, with a statement of reasons for its decision no later than the time it takes effect.

23.2 LEZO may terminate the entire relationship with a Customer subject to notice of at least thirty (30) days, notified on a durable medium and accompanied by a statement of reasons. This notice period does not apply where LEZO is subject to a legal or regulatory obligation requiring it to terminate the relationship without observing this period, where it exercises a right of termination for an imperative reason provided for by national law, or where it demonstrates that the Customer has repeatedly infringed these Platform Terms.

23.3 The Customer may challenge the decision through the complaint-handling procedure provided for in Article 24. Where the decision is withdrawn, LEZO restores access without undue delay.

23.4 The statement of reasons is not provided where LEZO is subject to a legal or regulatory obligation not to provide the specific facts or circumstances or the reference to the applicable ground.

23.5 Restriction, suspension or termination does not release the Customer from its obligations towards the other Customers and the Participants in respect of sales already concluded.

24. Complaints and mediation

24.1 The Customer may submit, free of charge, any complaint relating to the operation of the Services, a restriction, suspension or termination decision, the presentation of offers or the Platform Fees, by email to [email protected] or by post to the address indicated in Article 36. The complaint specifies the organization concerned, the facts and the request.

24.2 LEZO acknowledges receipt of the complaint, examines it diligently and in light of its importance and complexity, and communicates its response to the Customer clearly and unambiguously.

24.3 In the event of a dispute not resolved through the complaint procedure, LEZO and the Customer may resort to mediation. LEZO agrees to engage in good faith in mediation conducted by one of the following mediators:

  • the Médiateur des entreprises (French public business-to-business mediation service)
  • the Centre de médiation et d'arbitrage de Paris (CMAP)

24.4 Recourse to mediation is voluntary. It does not deprive either Party of the right to initiate legal proceedings at any time. LEZO bears a reasonable proportion of the costs of mediation, determined taking into account all relevant elements of the case.

25. Single point of contact and reporting of content

25.1 Under Regulation (EU) 2022/2065 on digital services, LEZO's single point of contact, intended for the authorities of the Member States, the European Commission, the European Board for Digital Services and the recipients of the Services, is the address [email protected]. Communications may be written in French or English.

25.2 Any illegal content present in the Services may be reported using the reporting form available at www.questovery.com/en/report, or to the address indicated in Article 25.1, under the conditions provided for in the User Terms. Where a report concerns content provided by the Customer or its Users, LEZO may inform the Customer, who cooperates in handling the report. LEZO may remove or disable access to manifestly illegal content; it informs the author of the content, where their contact details are known, by means of a statement of reasons.

TITLE II – PUBLISHER ROLE

26. Access to the Publisher role

26.1 Any Customer may act as a Publisher. The sale of paid Operating Licenses requires a Connected Account able to accept payments.

26.2 The Publisher designates, among its Users, the persons authorized to publish its Scenarios and manage its offers, and is answerable for their actions.

27. Scenarios

27.1 The Publisher designs its Scenarios in the Services and decides on their publication. It remains the holder of the rights in its Scenarios. The license granted to LEZO over Customer Data in Article 9 covers the hosting, reproduction and display of Scenarios to Operators holding an Operating License and to Participants in their Quests.

27.2 The effects of corrections and changes to a Scenario on Quests operated under an Operating License are governed by the Standard License Terms or by the terms agreed between the Publisher and the Operator.

28. Offers and sale of Operating Licenses

28.1 The Publisher defines its Operating License offers, in particular the Scenarios covered, the prices, the period of validity, the team quotas, the booking rights, as well as the maximum price and the recommended price of Registrations. It may not impose any minimum Registration price. It may make an offer public or reserve it for certain Operators. The terms of an offer are fixed at the time of the order.

28.2 The Publisher is the seller of the Operating Licenses it offers, including their renewals and team quota top-ups. The price is collected into its Connected Account under the conditions of Article 19. The license contract is concluded directly between the Publisher and the Operator; LEZO is not a party to it.

28.3 The Standard License Terms apply by default to the license contract, unless different terms are agreed in writing between the Publisher and the Operator. These terms may not derogate from these Platform Terms in relations with LEZO.

28.4 The Publisher reviews the Quest settings submitted by the Operator under an Operating License and approves or rejects them. A Quest operated under an Operating License may start teams only after this approval. Any rejection is reasoned and communicated to the Operator.

28.5 The Publisher remains solely responsible for its offers, the performance of the license contracts, the invoicing of its sales and the related tax obligations, including the determination and remittance of the applicable value added tax.

28.6 Under the rule currently applied by the Services, for a Quest operated under an Operating License granted by the Publisher, the billable consumption linked to starting teams provided for in Articles 3.2 and 4.2 is charged to the Publisher's plan, prepaid team credits and, where applicable, usage-based billing, and not to those of the Operator. Where the Publisher's credits are insufficient, the start is not charged to the Operator's credits. This allocation does not grant the Publisher any additional right over the operation of the Quest and changes neither the sale of Operating Licenses nor the settlement of Registrations.

29. Publisher remuneration and invoicing of its usage

29.1 The Publisher receives the price of Operating Licenses, renewals and team quota top-ups paid directly by Operators. Acquired entitlements may also provide a Publisher Commission on Paid Registrations under Article 20.

29.2 SaaS transfers that commission in full to the Publisher’s Connected Account, without any LEZO share on new sales. On dedicated deployments the configured Publisher retains its commission on its account.

29.3 LEZO invoices the Publisher for its own services, in particular its Subscription or plan and the consumption linked to starting teams of the Quests operated under the Operating Licenses it has granted, under the conditions of Articles 3.2, 4 and 28.6.

30. Publisher's warranties on its content

30.1 The Publisher warrants that it holds all the necessary rights in its Scenarios and their elements, in particular texts, images, sounds, videos, fonts, trademarks and representations of places or persons, and that it is able to exploit them and to grant their exploitation through the Services.

30.2 The Publisher warrants that its Scenarios and offers are lawful, do not infringe the rights of third parties and describe accurately and fairly the Scenarios, the rights granted and their conditions.

30.3 The Publisher holds LEZO harmless against any claim, action or demand by a third party, an Operator or a Participant based on its Scenarios, its offers or a breach of the warranties in this article, and indemnifies LEZO for the resulting financial consequences.

TITLE III – OPERATOR ROLE

31. Operation of Quests

31.1 The Operator creates its Quests from its own Scenarios or from Scenarios for which it has acquired an Operating License, and configures in particular their dates, game modes, geolocation points, media feed, rankings and their possible public link, the data requested from Participants and the Registration conditions.

31.2 Starting teams is subject to the billing conditions of Articles 3.2 and 4 and, for a Quest operated under an Operating License, to the rights available under that license. Under the rule currently applied by the Services, the billable consumption linked to starting teams of a Quest operated under an Operating License is charged to the plan and credits of the Publisher that granted that license, under the conditions of Article 28.6, and not to those of the Operator.

31.3 The Operator undertakes in particular to:

  • operate its Quests in accordance with the Operating Licenses it holds
  • choose geolocation points and routes that are accessible and safe for Participants, and obtain the authorizations necessary for the use of the places concerned
  • inform Participants of the safety instructions, access conditions and rules applicable on site, and provide appropriate supervision, in particular when minors participate
  • choose settings suited to its audience, in particular when minors participate, for route history, photo publication and public rankings
  • take out and maintain the insurance necessary for its activity
  • comply with the regulations applicable to its activity, in particular regarding consumer protection, personal data, image rights, taxation and the reception of the public

32. Acquired Operating Licenses

32.1 The Operator acquires Operating Licenses from Publishers, through the Services, under the conditions of the selected offer. The license contract is concluded directly with the Publisher; LEZO is not a party to it.

32.2 The Standard License Terms apply by default to the license contract, unless different terms are agreed in writing between the Publisher and the Operator. The Operator accepts them when placing the order, after having reviewed the terms of the offer frozen at purchase, in particular the maximum price and the recommended price of Registrations.

32.3 A Quest operated under an Operating License may start teams only after its settings have been approved by the Publisher. Any dispute relating to the license is handled between the Publisher and the Operator.

33. Sale of Registrations to Participants

33.1 The Operator is the seller of Registrations for its Quests and the provider of the activity offered to Participants. The contract relating to the Registration is concluded directly between the Operator and the Participant; LEZO is not a party to it.

33.2 The Operator freely sets the price of Paid Registrations, without exceeding any maximum price provided for by the applicable Operating License; no minimum price is imposed on it. The price is collected into its Connected Account under the conditions of Article 19, less any Publisher Commission.

33.3 A Paid Registration is confirmed after the payment is captured; the corresponding team is then created and a confirmation is sent to the buyer by email.

33.4 The Operator remains solely responsible for the performance of the activity sold, the reception of Participants, any cancellations, postponements and refunds, customer service, invoicing and the tax and social obligations relating to its sales, including the determination and remittance of the applicable value added tax.

33.5 The owners and administrators of the Operator's organization may fully refund a Paid Registration from the Application. The refund is executed by Stripe from the Operator's Connected Account, to the payment method used by the buyer; where the payment has not yet been captured, the payment authorization is canceled. Refunded application fees are returned under the conditions of Article 20.7. The refund does not delete the corresponding team; the Operator remains responsible for the follow-up it gives to the refund towards the Participants.

34. Operator's obligations towards Participants

34.1 Where Participants are consumers, the Operator, as seller, complies with the obligations that consumer law imposes on it. In particular, it provides them, before the conclusion of the contract, with the required pre-contractual information: its identity and contact details, the essential characteristics of the activity, its price including all taxes, the date and place of the activity, the cancellation and refund conditions, the existence or absence of a right of withdrawal and the contact details of the consumer mediator to which it is subject.

34.2 Before opening the sale of Paid Registrations, the Operator enters its seller identity: name, legal form, registration where applicable to its legal status, address, telephone, email address, and the name and website of the consumer mediator that actually covers its sales. The other information is required to open sales and order a Paid Registration. The Operator warrants the accuracy of this information, including whether registration applies, and keeps it up to date. For new profiles, the form applies the Platform's standard registration terms and their cancellation rules; it does not request drafted cancellation conditions or a link to the seller's own terms of sale. Previously recorded sale and cancellation terms are preserved when the seller identity is changed. The Platform presents the applicable information before the order and repeats it in the confirmation sent to the buyer. Free registrations do not require a seller profile in the Application; this does not exempt the Operator from the legal obligations applicable to its activity.

34.3 Before the order, the Application presents to Participants the Operator's seller identity, the contact details of its consumer mediator, the date or period of the Quest, its cancellation conditions, the information relating to the right of withdrawal and the link to the applicable terms of sale, and states that the platform is not the seller. The right of withdrawal is presented as excluded, pursuant to Article L.221-28, 12° of the French Consumer Code, where the Quest has both a start date and an end date, and as open for fourteen (14) days otherwise. The Application collects neither the consumer's express request for performance of the service before the end of the withdrawal period nor any waiver of that right. The Operator therefore refunds in full a consumer buyer who withdraws within this period, even if their team has started or completed the Quest, and cannot claim any amount proportionate to the service provided. The order requires the buyer to tick the box accepting the terms of sale, then to select the button “Order with obligation to pay”; the Application records this acceptance. This information is repeated in the confirmation email. The Operator checks that it corresponds to its offer, in particular the characterization of the right of withdrawal derived from the dates of the Quest, and supplements it where necessary.

34.4 The Operator joins a consumer mediation scheme of its choice when required to do so and communicates its contact details to Participants. The declared mediator must actually cover the Operator and the relevant sales. The Platform's mediation agreement does not automatically cover Operators' sales. The Platform's mediator concerns its own services, within the scope of its agreement. For disputes concerning Registrations sold by the Operator, the Participant refers to that Operator's scheme.

34.5 The Standard Registration Terms apply by default to the Registrations sold by the Operator, unless it makes its own terms of sale available to Participants before the conclusion of the contract, in which case those terms apply and it is solely responsible for them. In both cases, the Operator remains the seller and provides Participants with the information concerning it that is necessary for the application of these terms.

35. Participant data

35.1 The Operator acts as data controller for the personal data of Participants processed in the context of its Quests and its sales of Registrations. LEZO processes such data on its behalf, as a processor, under the conditions of the GDPR Addendum.

35.2 Where the Operator enables it, the Application may request from Participants, among the fields it chooses, their first name, last name, email address, date of birth, postal code and telephone number, with the consent text displayed. The Operator requests only the data necessary for the purpose it pursues and informs Participants thereof.

35.3 Where the Operator enables the public link of a ranking, any person with this link can view the team names, scores and photos published in the Quest's album. The Operator assesses whether this link is appropriate for its audience.

35.4 The Operator informs Participants of the processing carried out under its responsibility, determines the applicable legal bases, collects the necessary consents and authorizations, in particular for the image of persons and the participation of minors, and responds to requests to exercise rights that concern it, with the assistance of LEZO provided for in the GDPR Addendum.
